I've had the same problem, and as far as I can tell it is because under certain circumstances some of the old files that should be deleted are not correctly removed.
My work round works but it's not pretty! I look through the joomla files (in cpanel file manager) and delete all those that are not related to 3rd party components and plugins that have been installed separately (eg akeeba backup, sh404 sef)
I then ftp the complete joomla 3.2 package zip to the root directory and use 'extract' in cpanel to recreate all the missing directories. As a side issue I also check the db tables because several components leave unnecessary tables behind...
This actually works very well and only takes 10 minutes now I've done a few, but it is difficult to explain and took me quite a while the first time!
In any event a backup is essential before starting - an akeeba backup only takes a minute to restore when something goes wrong but would be a nightmare without one!
Ps I thought i had this problem because I can't use the system updater ( server allow_url_fopen is off), surprised the same happens with the correct updater...I'm wondering if it is sites that were historically updated with jupgrade...
